Robert Half Talent Solutions is currently looking for a Senior Corporate Employer Counsel (m/f/x) for a permanent position based in Antwerpen .

Our client is a fast growing company active in the maritime transport sector .

As Senior Corporate Employer Counsel (m/f/x) you will be responsible for

PRIMARY AIM

To ensure corporate compliance with all regulatory and statutory requirements applicable to the group of companies and its businesses; To maintain an excellent relationship with the relevant stock exchange and other financial authorities; To ensure sound corporate administration of the group of companies; To head the corporate section of the Employer department and to be the Employer Director's right hand for all corporate matters.

COMPANY SECRETARIAL

To design and implement all necessary policies and procedures to ensure that the company complies with its articles of association and its statutory and regulatory obligations, and in particular those governing its operation as a company that is dually listed in Brussels and New York; To prepare any records required by statute to ensure that the company conducts its business in a Employer and proper manner; To attend and record meetings of the board of directors and the executive committees; To organise and attend annual and extraordinary shareholders meetings.

COMPLIANCE OFFICER

Within the context of corporate governance, to aim to assure that the company, its officers and employees are informed of and comply with these laws, internal rules and ethical standards, including sanctions compliance and anti-bribery and anti-money laundering policies.

Employer

To act as contact person in respect of all corporate Employer matters for the other sections of the Employer department and for various other inhouse departments or overseas offices; To draft, review and/or negotiate agreements such as joint venture agreements, shareholder agreements and share sale & purchase agreements; To conduct research, stay up to date with and/or provide Employer analysis on corporate legislative matters; To generally attend to all corporate issues assigned by the Employer Director or the CFO.

The required profile for the Senior Corporate Employer Counsel (m/f/x) position

Formal education you hold a Master's degree in Law; You have minimum years of experience as an in-house Employer counsel or as a lawyer in a business law firm, with a specialisation in corporate law and business law. Experience in or with stock-listed companies is an asset; Languages proficient in Dutch and English (both spoken and written); Solution-oriented with a positive, can-do mentality; Excellent team player, able to work independently and take initiative.
