Your function
As Corporate Governance Officer, you ensure that EGI's entities, governance framework, quality processes, and corporate operations function is structured in a compliant and efficient manner.
Acting as a key member of the COO Office within Operations & Governance (OPSG), this role combines hands-on execution with structured oversight. You play a central role in ensuring that EGI's multi-entity structure operates smoothly, remains aligned with Group standards, and continuously improves its internal processes.
Typical activities involve (but are not limited to):
Corporate Governance & Compliance:
- Maintain and enhance EGI's governance framework across all entities.
- Ensure compliance of entities with legal, regulatory, and internal policy requirements.
- Coordinate Board and shareholder matters: agendas, resolutions, minutes, and follow-ups.
- Maintain statutory registers and corporate documentation.
- Support internal audits, compliance reviews, policy updates, and corporate structuring initiatives.
Process Optimization & Project Coordination:
- Lead and coordinate governance, compliance, and operational improvement projects.
- Standardize workflows, simplify and harmonize procedures, and develop structured documentation frameworks.
- Act as a central interface between Legal, Finance, HR, and senior management.
- Prepare governance updates, dashboards, and reports for leadership.
Contract Oversight & Administrative Support:
- Conduct preliminary reviews of contracts to ensure compliance with internal policies and identify risks.
- Maintain contract tracking systems and corporate documentation repositories.
- Provide reliable, high-quality administrative support to the COO Office and stakeholders.
Quality Management & Continuous Improvement:
- Own and coordinate the annual ISO 9001 audit process; liaise with auditors and internal stakeholders.
- Maintain and improve the Quality Management System (QMS), including process documentation and improvement actions.
- Integrate lessons learned from audits and projects into daily operations.
- Drive a culture of operational excellence and continuous improvement across entities.
Profile & Qualifications
Education: Bachelor's or Master's degree in Business Administration, Corporate Governance, Law, or a related discipline.
Experience:
- 3–7+ years in corporate governance, compliance, quality management, legal operations, or corporate administration.
- Experience with ISO 9001 audits and Quality Management Systems is highly desirable.
- Exposure to multi-entity or international corporate structures is an asset.
- Experience leading projects or cross-functional initiatives.
Skills & Competencies:
- Solid understanding of corporate governance, compliance, and regulatory requirements.
- Knowledge of quality management systems and audit processes.
- Strong organisational, documentation, and project coordination skills.
- Ability to manage multiple stakeholders across departments.
